Terms governing the use of our services and website.
Contractual Agreement
Engagement with Imaginaire Web ("The Agency") constitutes a formal legal agreement between the Agency and the Client ("You"). By accessing our digital infrastructure or commissioning services, you agree to be bound by these Terms and Conditions. These terms govern the professional relationship, intellectual property transfer, and operational protocols of all agency-led projects.
Scope of Agency Services
Our agency provides high-tier digital engineering and design services, including but not limited to:
The specific scope, deliverables, timelines, and costs of any project shall be defined in a separate project proposal or agreement mutually agreed upon by both parties before commencement of work.
Client Obligations
- Provide accurate, complete, and timely information, content, and materials.
- Review and provide feedback on deliverables within agreed timelines.
- Ensure provided content does not infringe on third-party IP rights.
- Make payments in accordance with the agreed payment schedule.
Financial Terms
- Advance Payment: A non-refundable 50% advance is required before work commences.
- Final Payment: The remaining balance is due upon completion and prior to final handover.
- Additional Work: Features beyond the original scope will be quoted and billed separately.
Intellectual Property Rights
Client Ownership
Upon full payment, the client owns the final website design, graphics, and custom content created specifically for their project.
Company Rights
We retain rights to standard frameworks and code libraries. We also reserve the right to display the project in our portfolio.
Third-Party Assets
Any third-party assets (stock images, fonts, plugins) remain subject to their respective license agreements.
Change Management
Each project includes a reasonable number of revisions as defined in the proposal (typically 2-3 rounds). Additional revisions or significant design changes beyond the included rounds will be billed at our standard hourly rate or a mutually agreed-upon fee.
Timeline Integrity
Estimated timelines are good-faith estimates. Delays caused by the client (late content, delayed feedback) may extend the timeline without liability on our part. We will communicate any anticipated delays promptly.
Hosting & Domain
Unless explicitly included, hosting, domains, and SSL are the client's responsibility. If we manage hosting, separate recurring fees apply.
Limitation of Liability
We shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid for the project. We are not responsible for third-party server downtime or cyber-attacks.
Service Cancellation & Warranty
- Termination Either party may terminate with written notice. In client-initiated cancellation, work completed is billed, and the advance is non-refundable.
- 30-Day Warranty We provide 30 days of post-launch support for bug fixes related to the original scope at no extra cost.
