01. PREAMBLE & CONTRACTUAL IDENTIFICATION

This Master Service Agreement (the "Agreement") is formally executed on this ____, by and between IMAGINAIRE WEB, a premier digital architecture consultancy (the "Agency"), and(the "Client"). This instrument is electronically secured and protected under the Information Technology Act, 2000 (India).

02. COMPREHENSIVE DEFINITION OF SERVICES

The Agency is commissioned to architect and deploy high-performance digital solutions as defined below:

Corporate Web Architecture: High-end custom design and strategic branding interfaces.

Enterprise E-Commerce Ecosystems: Scalable storefronts with advanced inventory logic.

Full-Stack Web Applications: Custom software engineering using MERN/modern stack.

Admin Dashboards & CRMs: Internal management tools with secure data visualization.

Strategic UI/UX Design: Comprehensive user research and professional prototyping.

Performance & SEO Architecture: Technical optimization for speed and search dominance.

Progressive Web Apps (PWA): Cross-platform mobile-responsive web applications.

Technical Maintenance & Security: Ongoing oversight, security patching, and system updates.

03. TECHNICAL STANDARDS & ARCHITECTURAL STACK

The Agency utilizes enterprise-grade technologies for maximum security:

Core Engine: Utilization of high-performance frameworks (React.js, Next.js, Node.js).
Database Integrity: Implementation of secure, ACID-compliant database schemas.
Security Protocols: Integration of SSL/TLS 1.3 encryption and SQL injection safeguards.
Responsive Design: Fluid-grid architecture for pixel-perfect rendering across all devices.
API Orchestration: Clean, documented RESTful or GraphQL API structures.
Code Quality: Adherence to modular component architecture and clean-code principles.
Cloud Infrastructure: Deployment optimized for AWS, Google Cloud, or Vercel.

04. SERVICE DELIVERY METHODOLOGY & OPERATIONAL MILESTONES

Phase I: Strategic Discovery & Requirement Mapping

The project initiates with exhaustive technical audits. No development occurs until the Technical Requirements Document (TRD) is formally approved. This ensures absolute alignment.

Phase II: Creative Architecture & UI/UX Engineering

Engineering of high-fidelity UI/UX prototypes with two (2) revision rounds. Approval marks the visual layout finalization for engineering.

Phase III: Agile Development & Full-Stack Implementation

Transformation of designs into code using Agile sprints. Provides bi-weekly updates and staging access for continuous review.

Phase IV: Quality Assurance & Deployment

Rigorous testing cycle including unit and security audits. Deployment occurs only after final milestone settlement.

05. COMMUNICATION & REPORTING PROTOCOLS

Formal communication must occur via Email or Slack. Reports are provided every Friday. Delays in feedback exceeding 48 hours will shift timelines.

06. COMPREHENSIVE CONTRACTUAL TERMS & CONDITIONS

I. Intellectual Property Rights

Ownership transfers to the Client upon 100% financial settlement. The Agency retains rights to its core tooling and portfolio showcase rights.

II. Change Management

Deviations from TRD are processed via Change Orders billed at INR 2,500/hr. No out-of-scope work is performed without a signed addendum.

III. Technical Warranties

30-day "Stability Warranty" for bug fixes. Void if third-party modifications or server failures occur beyond Agency control.

IV. Limitation of Liability

Financial liability is limited to the amount paid for the specific milestone. No liability for indirect or consequential profits loss.

V. Termination Protocol

15-day written notice required. Completed work is billed, and the 50% advance is non-refundable due to resource reservation.

07. PRIVACY ARCHITECTURE & DATA PROTECTION

We never sell Client data. Sharing is strictly limited to integrated sub-processors (Hosting, APIs) under technical necessity.

IV. Legal Compliance & Breach Protocol

Adherence to GDPR/CCPA and IT Act 2000. Incident response triggered within 24h of any suspected compromise.
